1. About these terms

These Direct Send terms (the “Clinic Terms”) apply to any clinic, practice or health system (“you”) that subscribes to Ember Direct Send from Cascade Headache, PLLC (“we” or “us”), the developer of Ember.

By starting a free trial or a paid subscription, you agree to these Clinic Terms. The person who accepts them confirms that they are authorized to do so for the clinic.

2. What Direct Send includes

Direct Send lists your clinic by name in Ember and gives you a lobby QR code and a link for after-visit summaries. When a patient chooses your clinic, Ember supplies your report inbox address to the patient’s own email app.

Patients send reports by email from their own accounts. We do not receive, store or forward those reports, and Direct Send does not connect to your electronic health record.

Each subscription covers one clinic listing with one report inbox.

3. Free trial

Each clinic may receive one free trial of 90 days. A card or bank account is required to start it, and the trial begins when you complete checkout.

We send a reminder before the trial ends. If you cancel before the trial ends, you will not be charged.

4. Fees and billing

After the trial, Direct Send costs $50 a month or $500 a year per clinic, plus any applicable taxes. Fees are charged automatically at the start of each billing period to the payment method on file until you cancel.

Payments are processed by Stripe. We do not receive or store full card or bank account numbers. Patients never pay for Direct Send.

5. Cancellation and refunds

You may cancel at any time through the billing portal or by emailing hello@cascadeheadache.com. Cancellation takes effect at the end of the current billing period, and your clinic stays listed until then.

Fees already paid are not refundable, including for partial billing periods, except where the law requires a refund.

6. Failed payments

If a payment fails, we will retry it and email the billing contact on file. If payment still fails after the retry period, your subscription ends and we remove your clinic from Ember.

7. Price changes

We will email you at least 30 days before a price change takes effect. A new price applies from your next billing period after that notice.

8. When a subscription ends

When your subscription ends for any reason, we remove your clinic from Ember within 5 business days. Your QR code and link then stop opening your clinic in Ember.

Patients can still email their reports to you by entering your address themselves. Their records stay on their own phones.

9. Your responsibilities

You agree to provide a report inbox that your clinic approves for patient health information, to monitor it under your own policies, and to keep your billing and contact details current.

Reports sent through Direct Send are not an emergency channel. You are responsible for how you handle the reports you receive and for following the laws that apply to your practice.

10. Privacy and HIPAA

Reports travel from the patient’s email account to your inbox. Because we do not create, receive, maintain or transmit protected health information for you through Direct Send, we are not your business associate, and no business associate agreement applies to Direct Send.

We handle your clinic’s contact and billing details as described in our Privacy Policy.

11. Disclaimer of warranties

Direct Send is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We cannot confirm that a patient sent a report or that an email reached your inbox. Delivery depends on the email services used by the patient and by your clinic. Ember reports are informational and do not replace clinical judgment.

12. Limitation of liability

To the maximum extent permitted by applicable law, Cascade Headache, PLLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including any undelivered or delayed report, any clinical decision, or any insurance claim denial or prior authorization outcome.

Our total liability for all claims arising out of or related to these Clinic Terms or Direct Send shall not exceed the fees you paid for Direct Send in the twelve months preceding the claim.

13. Changes to Direct Send or these terms

We may change Direct Send or these Clinic Terms. We will email you at least 30 days before a material change takes effect. If you continue your subscription after that date, you accept the change. You may cancel instead.

14. Governing law and dispute resolution

These Clinic Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Clinic Terms or Direct Send shall first be attempted to be resolved through informal negotiation. If informal resolution fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Washington.
